Mutual-to-Stock Conversions: Another Opportunity for State Regulators to Link Privilege to Performance

Summary 

This report discusses while conversion from mutual to stock form of ownership is excluded from the list of structural changes enumerated in the Act – due to the fact that conversions are not currently possible under federal law – the public need to link structural changes to institutional performance in reinvestment has now been specified by Congress. To the extent that state regulators use their authority to require community service commitments in the case of conversions, therefore, they are operating within the spirit of Title VIII.
